STORY POWERED SALES COACHING AGREEMENT

THIS STORY POWERED SALES COACHING AGREEMENT ("Agreement") is entered into by and between Lindsey Murray with its principal address at 12541 Wildebeest Way Spring Hill, Florida 34610, hereinafter referred to as "Coach", and client participating, hereinafter referred to as "Participant". Coach and Participant are sometimes referred to collectively in this Agreement as the "Parties" and individually as a "Party."

RECITALS

WHEREAS, the Coach is dedicated to assisting individuals in mastering strategic storytelling to drive sales and providing valuable insights, guidance, and encouragement;

WHEREAS, the Participant seeks to engage in the Story Powered Sales coaching program offered by the Coach to address their specific goals and objectives;

WHEREAS, both the Coach and Participant recognize the importance of storytelling as a foundational skill for business growth;

WHEREAS, the Participant desires to retain the Coach to provide services under the terms and conditions hereinafter set forth, and the Coach is willing to perform such services;

NOW, THEREFORE, in consideration of the mutual promises as hereinafter set forth and for good and valuable consideration,

BE IT AGREED AND CONTRACTED AS FOLLOWS:

1. Incorporation of Recitals. The Parties refer to the recitals hereinabove and incorporate the same herein as though fully set forth at this place.
2. Scope of Services. Coach and Participant have agreed to the following scope of work, as follows ("Story Powered Sales Coaching Services"): 
• Participant purchased the Story Powered Sales Coaching Program 
• Total Program Duration: 12 months 
• Bi-weekly Group Coaching Calls: 24 sessions over 12 months 
• Each Group Coaching Session will last approximately 60-90 minutes 
• These Coaching Sessions will be held virtually via Zoom 
• All sessions must be completed over the course of 12 months according to the program schedule 
• ● This program includes:
1. Access to the complete Story Powered Sales Framework
2. Bi-weekly group coaching calls with direct feedback
3. Private community access
4. Recordings of all sessions
5. Access to the Marketing Community membership
6. Upon registering within the promotion period, Participant receives a 60-minute Private Audit with Coach (valued at $5,000)

1. Financial Terms and Policies Payment Terms. The total fee for the Story Powered Sales program is $8,000 USD paid in full or $777 USD per month for 12 months. 
•  Participant acknowledges that either the first monthly payment or full payment must be made before the start of the coaching program 
•  Any missed sessions due to a "no-show," regardless of the reason, will be forfeited and are not entitled to a refund 
• Chargebacks: Participant is prohibited from making any chargebacks to the Coach's account Late Payment Policy. Late payments may delay the Participant's ability to participate in the Coaching Sessions, suspend services from the Coach, or serve as grounds for termination of this Agreement. Refund Policy. No refunds will be issued under any circumstances after 7 days from the date of purchase.
2. Intellectual Property Coaching Materials. During the coaching program, the Participant may be given materials that are the exclusive property of the Coach. These are provided to the Participant for their own personal, non-commercial use only and may not be copied, sold, distributed, displayed, broadcasted, reproduced, republished, uploaded, posted, exploited, transmitted, or otherwise shared in any form with any third party without the express, written consent of the Coach. License to Use the Coaching Materials. As a participant, you are granted one non-transferable, non-assignable, non-sublicensable, non-exclusive, revocable license to use the Coach's materials and program.

1. Results and Guarantees. The Participant acknowledges that individual results may vary. Because the Coach has no control over variables such as implementation and effort, there can be no guarantees regarding specific results or the time required to achieve them.
2. Term and Termination. This Agreement is in effect for 12 months and will automatically terminate upon the completion of the program.
3. Confidentiality Duty of Confidentiality. The Coach and Participant commit to maintaining the confidentiality of all conversations and information exchanged during the coaching relationship, as allowable by law. The Participant understands that group coaching may involve the sharing of information with other participants.Participant Responsibility. By purchasing this program you are complying with this Agreement, the Participant commits to maintaining the confidentiality of all information communicated to them by other coaching participants and by the Coach. They agree not to disclose information that could lead to the identification of others in the group.Consequences of Breach. Any breach of confidentiality may result in the Participant's removal from the coaching program without a refund.

1. Non-Disparagement. Participant will not, during the term or after the termination or expiration of this Agreement, make disparaging or derogatory statements in any form regarding the Coach, the Coach's products or services, the coaching relationship, other participants, or this Agreement.
2. Audiovisual Recording & Consent Consent to Record & Use. By purchasing this program you are complying with this Agreement, the Participant acknowledges and consents to the recording of coaching sessions, which may include their voice, image, likeness and other personal attributes. Purpose of Recordings. The Coach may record coaching sessions for:
• Quality Assurance
• Reference Material for participants
• Training and Development purposes
3. Not a Substitute for Professional Advice. The information and services provided in this coaching program are intended for general guidance and informational purposes only. They are not a substitute for professional advice, whether legal, financial, medical, mental health, or any other specialized advice.
4. Earnings Disclaimer. Any income or financial claims mentioned during coaching sessions are for illustrative and educational purposes only. No income or financial success is guaranteed, and individual results may differ.
5. Indemnification. Participant agrees to indemnify, defend and hold harmless the Coach from and against any and all claims, demands, suits, losses, liabilities, damages, and costs, including attorney's fees, resulting from the Participant's conduct, actions or omissions, in connection with this Agreement.
6. Independent Contractor Status. It is understood by both Parties that in providing its services, the Coach is serving as an independent contractor, and is neither an employee nor a partner, joint venture, agent, or representative of the Participant.
7. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any choice of law or conflict of law provisions.
8. Jurisdiction/Venue. Any disputes arising out of this Agreement shall be brought within the State of Florida, County of Pasco. By entering into this Agreement, you waive any jurisdictional, venue or inconvenient forum objections.
9. Attorney's Fees. In the event of legal action for the enforcement of this Agreement, the prevailing party shall be entitled to receive actual attorney's fees and court costs.
10. Limitation of Liability. In no event will the Coach be liable to the Participant for any damages exceeding the amount paid by the Participant to the Coach under this Agreement.
11. Force Majeure. Neither Party shall be held liable for failure or delay in fulfilling obligations when such failure or delay is caused by circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, power outages, or internet disruptions.
12. Severability. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
13. Entire Agreement. This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations.
14. Effective Date. This Agreement shall be effective as of the date of the Participant completing the purchase of Story Powered Sales.
